Ratchet is a mechanism that determines the allocation of equity between shareholders and the management team of the PE-controlled company. A ratchet enables the management team to increase its equity allocation
depending on the company’s actual performance and the return achieved by the PE firm.
該機制會決定股東和標的公司管理層之間的股權(quán)分配，如果公司的實際業(yè)績良好并且PE公司獲取了較高的投資回報，那么管理層就能獲得更多的股權(quán)分配。
